The Site is operated by AV8 Group and its affiliates (“AV8,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.

5. Investor Portal and Restricted Areas

Certain areas of the Site may require credentials and may be subject to additional terms. You are responsible for maintaining the confidentiality of your credentials and for activity under your account. Notify AV8 promptly if you believe your credentials have been compromised. We may restrict, suspend, or terminate access to any restricted area at any time.

If you send us information through the Site or by email, you represent that the information is accurate and that you have the right to provide it. Do not send confidential, proprietary, or sensitive information unless we have expressly agreed in writing to receive it. Sending us information does not create a confidential, fiduciary, advisory, or other professional relationship.

Those services are controlled by third parties and are governed by their own terms and privacy policies. AV8 does not control or endorse, and is not responsible for, third-party content, products, services, security, availability, or privacy practices. You access third-party services at your own risk.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AV8 DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND SECURITY. AV8 DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AV8 AND ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, PARTNERS, MEMBERS, AGENTS, AND REPRESENTATIVES, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, AV8’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless AV8 and its affiliates, and their respective directors, officers, employees, partners, members, agents, and representatives, from claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms, misuse of the Site, or infringement of another person’s rights.

11. Changes to the Site or These Terms

We may modify, suspend, or discontinue any part of the Site at any time. We may also update these Terms. When we do, we will revise the effective date above. Your continued use of the Site after updated Terms are posted constitutes acceptance of the updated Terms.

12. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Subject to applicable law, any legal action arising out of or relating to these Terms or the Site must be brought exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction and venue.

13. General Terms

If any provision of these Terms is found unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without our written consent. These Terms and the Privacy Policy constitute the entire agreement between you and AV8 concerning your use of the Site.
